Operator Agreement

This Operator Agreement ("Agreement") is entered into between PestAmigo, LLC ("PestAmigo") and the individual licensed pest-control applicator or pest-control company (the "Operator") identified in the account being created. By checking the acceptance box at the end of operator onboarding, the Operator agrees to be bound by this Agreement and by PestAmigo's Terms of Service and Privacy Policy.
1. The relationship
Operator is an independent contractorwith respect to PestAmigo. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship. Operator is responsible for its own taxes, insurance, equipment, vehicle, and the supervision of any personnel who perform services on Operator's behalf.
2. Services on the platform
PestAmigo dispatches same-day pest-control jobs in Operator's service area. Operator may, but is not required to, claim any dispatched job. The first qualified Operator to accept a job is the Operator who performs the work.
3. Operator type
3.1 Individual operators
If Operator is signing up as an individual:
- Operator must hold a current, valid state pest-control applicator license in every state where it accepts jobs, and must upload a copy of that license during onboarding.
- Operator must maintain a reliable vehicle, a current driver's license, and the equipment required to perform treatments to the standards described in Section 5.
- Operator's legal name and a verifiable photo will be shown to customers when a job is assigned.
- Operator's payouts are routed to a personal Stripe Express account (operator's SSN, personal bank).
3.2 Company operators
If Operator is signing up as a pest-control company:
- Company must hold a current, valid state pest-control business license in every state where it accepts jobs, and must upload that license during onboarding.
- Company must maintain a current commercial general liability policy with applicator coverage, and must upload the certificate of insurance during onboarding. PestAmigo will notify Company approximately thirty (30) days before expiration; it is Company's responsibility to maintain continuous coverage and upload renewals.
- Company is solely responsible for the licensure, training, supervision, conduct, and compensation of every applicator who performs work claimed through Company's account. PestAmigo does not onboard or vet individual technicians.
- Company's display name and logo will be shown to customers when a job is assigned. Customers rate Company — not the individual technician who performed the visit — and ratings affect Company's standing on the platform.
- Payouts are routed to a Stripe Express account configured for a business (EIN, business address, business bank). Company confirms its own beneficial owners and directors via Stripe.
4. Licensing, insurance, and compliance
Operator represents and warrants that, at all times while active on the Service, Operator will:
- Maintain all licenses, registrations, and certifications required by federal, state, and local law to perform pest control in the locations where Operator accepts jobs, including pesticide applicator certification under any applicable state Department of Agriculture (or analogous regulator).
- Comply with the federal Insecticide, Fungicide, and Rodenticide Act (FIFRA), the labeling on every product applied, and all state and local pesticide regulations.
- Maintain a written record of products applied per job and provide that record to PestAmigo on request and as required by law.
- For company operators, maintain commercial general liability and applicator coverage in amounts reasonable for the work performed.
5. Quality of service
Operator agrees to:
- Arrive within the customer's booked four-hour window or communicate any delay through the Service.
- Perform the standard PestAmigo same-day visit (sweep eaves, treat the base of the home, treat the perimeter of the yard) unless an alternative scope is disclosed at booking.
- Treat customers and their property with respect, leave no debris, and provide clear before/after notes via the Service.
- Refrain from any sales pressure outside of the recurring service offer at the door, which Operator may make if it is truthful and non-coercive.
6. Pricing and payouts
- Customer pricing is set by PestAmigo and disclosed to customers at booking. Operator may not solicit or accept side payments from a customer for work that originated through the Service.
- PestAmigo retains a platform fee equal to 30% of the service balance (the amount charged after the booking fee), plus the booking fee, on each completed job. The remaining 70% of the service balance is paid to Operator.
- Payouts are made via Stripe Express on Stripe's standard weekly schedule. Stripe issues 1099-K forms (or analogous documentation) where required.
- PestAmigo may adjust the platform fee on prospective bookings with at least thirty (30) days' notice.
7. Cancellations, refunds, and chargebacks
- If a customer cancels in accordance with the Terms of Service before Operator has begun the job, no payout is owed for the cancelled job.
- If a customer disputes a charge or initiates a chargeback, PestAmigo may withhold the corresponding payout pending investigation. Where the dispute is resolved in the customer's favor due to Operator's breach of this Agreement (e.g. failure to perform), PestAmigo may recoup the payout.
- Operator agrees to participate in good faith in any dispute resolution effort and to provide PestAmigo with photos, notes, and other evidence reasonably requested.
8. Background check and verification
PestAmigo may, at any time, verify Operator's license, insurance, identity, and background through third-party services. Operator authorizes such verification by accepting this Agreement. Active operators may be required to complete Stripe's identity verification (KYC) before payouts can be released.
9. Customer data
Customer information shared with Operator (name, address, phone, notes) may only be used to perform the dispatched job. Operator may not contact customers off-platform to circumvent the Service, sell their information, or use it for any unrelated purpose. Operator must keep customer information confidential and delete it when no longer needed.
10. SMS dispatch consent
By accepting this Agreement, Operator consents to receive transactional SMS messages from PestAmigo, including dispatch notifications when a job drops in Operator's service area. Operator may mute non-essential messages from settings; authentication and active-job messages are required.
11. Branding and trademarks
Operator may not use the PestAmigo name, logo, or trademarks except as expressly permitted by PestAmigo. PestAmigo may use Operator's display name (and, for companies, logo) on the Service and in customer-facing communications about a booking.
12. Termination
Either party may terminate this Agreement at any time. PestAmigo may suspend or terminate Operator's access immediately for any breach of this Agreement, lapse in licensing or insurance, unsafe conduct, or persistent low ratings. Sections that by their nature should survive termination (e.g. confidentiality, indemnification, limitation of liability) will survive.
13. Indemnification
Operator will indemnify, defend, and hold harmless PestAmigo and its officers, directors, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) Operator's performance of any pest-control service through the Service, (b) Operator's breach of this Agreement or any applicable law, or (c) any claim by a customer or third party relating to Operator's work or conduct.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PESTAMIGO'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS PAID TO OPERATOR THROUGH THE SERVICE IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. PESTAMIGO IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST OPPORTUNITY.
15. Disputes and arbitration
Most concerns can be resolved by contacting operators@pestamigo.com. Any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Each party waives the right to a jury trial and the right to participate in any class action.
16. Governing law
This Agreement is governed by the laws of the State of Utah without regard to its conflict-of-laws principles. Subject to Section 15, any action shall be brought exclusively in the state or federal courts located in Utah County, Utah.
17. Changes to this Agreement
PestAmigo may update this Agreement from time to time. When we do, we will update the version date above and re-prompt Operator to accept the new version on next sign-in. Continued use of the Service after acceptance is required to remain active.
18. Entire agreement
This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between Operator and PestAmigo regarding the subject matter and supersedes any prior agreement.
